11. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Westlaw Club, its contributors, and affiliates from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your violation of these terms; (b) your misuse of the site; or (c) your infringement or misappropriation of any intellectual property or other rights of a third party while using the site.

We will promptly notify you of any claim subject to this indemnity and will allow you to control the defense and settlement of the claim, provided that you do not settle in a manner that imposes obligations on Westlaw Club without our prior written consent.

12. Service modifications and maintenance

We may add, modify, or remove content, features, or sections of the site at any time to reflect changes in Westlaw products, legal developments, or user feedback. Significant structural changes—such as adding interactive tools—will be accompanied by updated terms if they affect how data is processed.

From time to time we may conduct maintenance that temporarily affects availability. When planned maintenance is expected to exceed one hour, we will post a notice on the site at least 24 hours in advance. Unplanned outages will be addressed promptly, and we will provide status updates on the homepage when feasible.

13. Dispute resolution

Before filing a claim, you agree to attempt to resolve the issue informally by contacting us at legal@westlaw-club.com with a description of the dispute. We will respond within 15 days. If we cannot resolve the dispute within 30 days, either party may pursue remedies in the courts identified in Section 7. Nothing in this section prevents either party from seeking injunctive relief for misuse of intellectual property or breach of confidentiality.

If you are located outside the United States, mandatory local consumer laws may grant you additional rights. These terms do not limit those rights where they apply.

14. Severability and waiver

If any provision of these terms is held unenforceable, the remaining provisions will remain in full force and effect. Failure by Westlaw Club to enforce any right or provision will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative.

15. Export controls and sanctions

The site is operated from the United States and may include content subject to U.S. export control laws and regulations. You agree not to access or use the site in violation of such laws, including restrictions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). You represent that you are not located in a comprehensively sanctioned jurisdiction and are not a denied or restricted party.

16. Entire agreement

These Terms of Service, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Westlaw Club regarding your use of the site and supersede any prior understandings or agreements on the same subject. If you enter a separate written agreement with us for consulting services, that agreement will govern to the extent of any conflict.

17. Notices

We may provide notices by posting on the site or sending an email to the address you provided in a contact form. Notices take effect when posted or sent. If your contact information changes, please let us know so we can maintain accurate records.
